These Terms and Conditions (“Agreement”) govern the use of services (“Services”) provided by INSCAPERS (“Company”, “We”, “Our”, or “Us”) to clients (“Client”, “You”, or “Your”). By engaging with our services, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not engage with our services.

  1. Scope of Services

INSCAPERS is a creative digital marketing agency that provides a range of services to help businesses scale and grow. These services include but are not limited to:

  • Brand Systems & Storycraft
  • Digital Experience Engineering
  • Custom App Development
  • Experience Design Architecture
  • Full-Funnel Growth Marketing
  • Social Impact & Influence
  • AI Systems & Smart Process Automation
  • Venture Strategy & LaunchOps

The specific services to be provided will be outlined in the proposal or service agreement between INSCAPERS and the Client.

  1. Client Responsibilities

As a Client, you agree to:

  • Provide accurate information: You will provide all relevant information needed to perform our services.
  • Cooperate with INSCAPERS: Timely feedback, approvals, and materials are necessary for us to deliver your project efficiently.
  • Comply with legal and ethical standards: You are responsible for ensuring that all content provided to us does not infringe on intellectual property rights or violate any laws or regulations.
  1. Payments and Invoices
  • Fees: All fees for services will be agreed upon in advance, either via a proposal, contract, or another formal document.
  • Payment Terms: A deposit or full payment is typically required before work begins. The Client will be informed of the payment schedule.
  • Late Payments: If payments are not received on time, INSCAPERS reserves the right to suspend or terminate services until payments are made.
  • Additional Costs: Any costs incurred due to additional requests or out-of-scope work will be communicated to the Client and must be approved in writing before proceeding.
  1. Intellectual Property
  • Ownership of Work: Upon full payment, the Client will own the final deliverables produced by INSCAPERS. This includes brand designs, websites, apps, content, etc. However, INSCAPERS retains the right to showcase the work in its portfolio and for promotional purposes unless otherwise agreed upon.
  • Licensing: Any third-party tools, assets, or software (such as stock images, fonts, etc.) that are used in the project are licensed to the Client for the purposes outlined in the agreement.
  • Client-Provided Materials: The Client grants INSCAPERS a non-exclusive, worldwide license to use any materials provided by the Client for the purpose of executing the project.
  1. Confidentiality

Both INSCAPERS and the Client agree to maintain the confidentiality of all sensitive or proprietary information exchanged during the course of the project. This includes business plans, strategies, and other confidential details.

  1. Project Timeline and Delivery
  • Estimated Timelines: Timelines for completion will be outlined in the service agreement or proposal. INSCAPERS will make reasonable efforts to deliver the services within the agreed time frame.
  • Delays: Delays caused by the Client, such as failure to provide necessary information or approvals, may extend the project timeline.
  • Completion: Projects are considered complete once all agreed-upon deliverables have been provided, and the Client has approved them.
  1. Client Approval and Feedback
  • Approval Process: The Client is expected to review and approve deliverables at each stage of the project. Any revisions requested by the Client that go beyond the initial scope may incur additional costs.
  • Final Deliverables: Once the Client approves the final deliverables, no further revisions will be made unless otherwise agreed.
  1. Warranties and Disclaimers
  • No Guarantee of Results: INSCAPERS does not guarantee specific results such as sales, leads, traffic, or rankings. All marketing efforts are based on data, strategy, and industry best practices, but results can vary.
  • Service Availability: We will make reasonable efforts to ensure continuous availability of our services; however, we do not guarantee the uninterrupted access to our platforms, tools, or websites.
  • Limitation of Liability: INSCAPERS will not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
  1. Termination and Cancellation
  • Termination by Client: The Client may terminate this Agreement at any time with written notice, provided that payment for all work completed up to the point of termination is made.
  • Termination by INSCAPERS: INSCAPERS reserves the right to terminate this Agreement if the Client fails to meet payment obligations, fails to provide necessary information, or engages in any unethical or unlawful activity.
  1. Dispute Resolution

In the event of a dispute, both parties agree to resolve the issue through informal negotiation. If the issue cannot be resolved informally, the dispute will be referred to mediation or arbitration before pursuing legal action. The jurisdiction for any legal matters will be in the location where INSCAPERS operates.

  1. Indemnification

The Client agrees to indemnify and hold INSCAPERS harmless from any claims, damages, or losses arising out of the Client’s use of the services or any content provided by the Client that infringes upon the rights of third parties.

  1. Amendments to the Terms

INSCAPERS reserves the right to update or modify these Terms and Conditions at any time. Any changes will be posted on our website, and the revised terms will take effect immediately upon posting.

  1. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of California State. Any legal action or proceeding related to these Terms and Conditions will be exclusively brought in the courts of California.

  1. Miscellaneous
  • Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
  • Entire Agreement: This Agreement constitutes the entire understanding between INSCAPERS and the Client and supersedes all prior agreements, representations, or understandings.
